Keltech Energies Secures ₹15 Crore Unsecured Loan from Dolphin Investment

Keltech Energies Limited has made the announcement to the Bombay Stock Exchange (BSE) on 16th April 2025, concerning its execution of an inter-corporate loan agreement with Dolphin Investment Limited. The announcement, made under Regulation 30 read with Schedule II of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, announces the salient points of the transaction.

Details of the Loan

The deal, signed on 16th April 2025, is between Keltech Energies as the lender and Dolphin Investment Limited as the borrower. The nature of this deal is an inter-corporate loan, with the value of the deal being limited to ₹15 Crores. The loan is without security and has an interest rate of 10.05%. The loan term is 5 years, with an option for extension as mutually agreed if needed.

Related Party Disclosure and Arm’s Length Confirmation

Notably, the disclosure states that Dolphin Investment Limited is related to the promoter/promoter group of Keltech Energies. In spite of this related party status, Keltech Energies has confirmed that the transaction is on an arm's length basis. The total outstanding amount of loan as of the date of the disclosure was nil.

No Equity, Rights, or Security Involved in the Deal

Additional information from Keltech Energies establishes that shares are not being issued to the counterparty under this agreement, nor are there any special rights being issued, including the right to appoint directors or first right of subscription of shares. The announcement further states that no security for the loan has been issued.
