Mahindra & Mahindra (M&M) has announced a significant move to strengthen its presence in the commercial vehicle sector, agreeing to acquire a majority stake of 58.96% in SML Isuzu. The deal, valued at ₹555 crore, marks a pivotal step for the Company. The announcement led to a positive reaction in M&M's shares, which jumped by nearly 3%, while SML Isuzu's share price hit the 10% lower circuit on Monday. M&M shares are currently trading at ₹2902.30 with an increase of 1.33%.
The acquisition involves M&M purchasing shares from SML Isuzu's existing promoters and a public shareholder. Specifically, M&M will acquire 63.62 lakh shares, representing 43.96% of SML's total shareholding, from Sumitomo Corporation for ₹413.55 crore. Additionally, M&M will buy another 21.70 lakh shares, or 15% of SML's equity, from Isuzu Motors Ltd for approximately ₹141.10 crore. Both transactions are priced at ₹650 per share. In compliance with SEBI Takeover Regulations, M&M is also required to launch an obligatory open offer to acquire up to 26% of SML from eligible public shareholders. The price set for this open offer is ₹1,554 per share, which represents a 13% discount compared to SML Isuzu's closing price on the preceding Friday.
The primary driver behind this acquisition is M&M's ambition to establish a strong presence in the >3.5 tonne (T) Commercial Vehicle (CV) segment. Currently, M&M holds a relatively small 3% market share in this category. This contrasts sharply with its dominant position in the <3.5T Light Commercial Vehicle (LCV) segment, where it commands a 52% market share. This acquisition is projected to immediately double M&M's market share in the >3.5T CV segment to 6%. The company has outlined aggressive targets for future growth, aiming to increase this share further to 10-12% by FY31 and exceed 20% by FY36.
The acquisition is seen as a key milestone for Mahindra Group, aligning with its vision for 5x growth in emerging businesses. It supports the group's capital allocation strategy by focusing on high-potential areas with strong performance and growth opportunities. The deal strengthens the company’s position in the commercial vehicle market, advancing its goal of becoming a comprehensive player in the segment. Expected benefits include expanded market coverage, improved operating efficiency through platform consolidation, a unified supplier and dealer network, and better utilization of manufacturing capacity.
The acquisition, therefore, appears to be a calculated move by Mahindra & Mahindra to leverage SML Isuzu's position and infrastructure to rapidly accelerate its market penetration and competitive standing in the medium and heavy commercial vehicle categories.
